General terms of Trueben

Version 2.0, valid from 2 November 2026. This is a translation; if it differs from the Dutch version, the Dutch version prevails. The previous English version of 5 May 2026 is here.

You can save or print this page. On request we send the terms by email free of charge.

1. Who we are

  1. 1.1 Trueben is a sole proprietorship (eenmanszaak) of Ruben Treurniet, registered with the Dutch Chamber of Commerce (KvK) under number 98842137. VAT id: NL005357418B71. Business address: Rotterdam, the Netherlands. Email: info@trueben.nl.
  2. 1.2 Rubotics is a brand name of Trueben, not a separate company. Anyone who makes an agreement with Rubotics or trueben.nl makes it with Trueben.

2. Definitions

  • Client: the business or person that makes an agreement with Trueben.
  • Business client: a client acting for its trade or profession. Consumer: a client who is a natural person not acting for its trade or profession (see article 16).
  • Order description: the quote, the order page or the confirmation by email that states what Trueben delivers, at what price and when.
  • Work: everything Trueben makes or delivers for the client, such as designs, websites, web shops, web applications, client portals, AI automations, software, installation files and documentation.
  • Software: the programs, scripts, automations and installation files in the work, including the parts Trueben uses for more clients.
  • Client material: what the client supplies, such as texts, photos, logos, data and access to its systems.
  • In writing: on paper or by email.

3. When these terms apply

  1. 3.1 These terms apply to every quote, order and agreement of Trueben: websites and web shops, web applications and client portals, AI automation, SEO, hosting, maintenance, support and subscriptions.
  2. 3.2 The client's own terms do not apply. Trueben expressly rejects them.
  3. 3.3 Where arrangements differ, this order applies: (1) a separate agreement signed by both parties, (2) the order description, with the conditions on that service's page (such as for the rush website service), (3) these terms. On personal data, module A prevails.
  4. 3.4 If a provision is invalid, the others remain in force. The parties then replace it with a valid provision that comes as close to it as possible.
  5. 3.5 Trueben makes these terms available electronically before or when the agreement is made, in a way that lets the client store them and read them later (article 6:234(2) Dutch Civil Code). If the agreement is not made electronically, Trueben does so only with the client's consent, and otherwise sends the terms along (article 6:234(1) and (3) Dutch Civil Code).

4. Quotes and agreement

  1. 4.1 A quote is valid for 30 days unless it states another period.
  2. 4.2 The agreement is made when the client accepts a quote (email included), completes an order on the website, or when Trueben starts the work at the client's request. Ordering through the website is for businesses only.
  3. 4.3 An obvious mistake in a quote or on the website does not bind Trueben.

5. How Trueben works, and what the client does

  1. 5.1 Trueben performs the work with care and skill, to the best of its ability. Trueben promises a specific result only if the order description says so in so many words. Backups, monitoring, hosting and updates are part of the work only if the order description or a maintenance subscription names them (article 10.1); for the Launch subscription, the terms on that subscription's page as they stood when it was ordered also apply (article 9.5).
  2. 5.2 Trueben may use tools and other people, AI tools included. Trueben remains responsible for the work and checks what those tools produce. For personal data, module A applies.
  3. 5.3 The client supplies what is needed in time: material, information, choices and access. If it comes later or is wrong, the schedule moves and Trueben may charge the extra work at the hourly rate.
  4. 5.4 The client guarantees that it may use, and let others use, its material, including material from someone else (such as photos or texts). A business client indemnifies Trueben against claims of others arising from it.

6. Delivery times, delivery and approval

  1. 6.1 Delivery times are a guideline, unless the order description expressly calls a date a fixed deadline (such as for the rush website service, with the conditions on that page). If a delay is likely, Trueben says so by email.
  2. 6.2 On delivery, Trueben puts the work live, installs it or sends the files. The client checks the work within 14 days and reports errors in writing. If the client reports nothing in that time, or uses the work in its business, the work is approved. Small errors that do not hinder use do not block approval; Trueben still fixes them (article 10.3).
  3. 6.3 The number of revision rounds is in the order description. A revision round is a change within the agreed assignment. New pages, new functions or a new design are additional work.
  4. 6.4 Trueben does additional work only after the client agrees, at a price stated beforehand or at the hourly rate.

7. Prices and payment

  1. 7.1 Prices are in euros and, for business clients, exclude VAT unless stated otherwise. For a consumer, Trueben states the total price including VAT.
  2. 7.2 The hourly rate is the rate in the order description, or otherwise the hourly rate on trueben.nl.
  3. 7.3 The client pays as the order description says: in advance online (iDEAL or credit card, through Stripe) or by invoice within 14 days. A subscription or maintenance is paid monthly in advance unless agreed otherwise.
  4. 7.4 If a business client does not pay on time, it is in default without a reminder and owes the statutory commercial interest (article 6:119a Dutch Civil Code) and the statutory collection costs (article 6:96 Dutch Civil Code). A consumer first receives a free reminder with 14 days to pay; only after that does the consumer owe interest and collection costs under the law.
  5. 7.5 If payment is still missing after a reminder, Trueben may pause the work until payment. Trueben takes a website it hosts offline only after announcing this in writing at least 14 days in advance; the announcement may be part of the reminder. Dissolution follows article 8.4.
  6. 7.6 Trueben may change the price of an ongoing service once every 12 months. Trueben announces an increase 30 days in advance; the client may then end the service as of the day the increase takes effect. For a consumer, Trueben never raises the price in the first 3 months. For the Launch subscription, the limit on that page also applies.

8. Duration and end

  1. 8.1 A one-off assignment ends on delivery. Article 10 (fixes and support) continues to apply.
  2. 8.2 An ongoing service (subscription, hosting or maintenance) runs for the period in the order description. After that it continues for an indefinite period, and either party may end it at any time with one month's notice.
  3. 8.3 A business client cannot end a fixed-term agreement early; article 7:408(1) Dutch Civil Code does not apply then. A consumer can always end it (article 16.6).
  4. 8.4 If a party fails to keep an important arrangement, the other may dissolve the agreement after giving a reasonable period in writing to put it right. Trueben may also end an agreement with a business client at once if that client goes bankrupt or obtains a suspension of payments.
  5. 8.5 At the end, what has been delivered remains payable. The right to use paid work remains (article 9), except for a subscription (article 9.5). For personal data, module A, point A10 applies. Trueben helps transfer the client's domain name to a party the client chooses.

9. Rights in the work and right of use

  1. 9.1 The client's material remains the client's. The client permits Trueben to use it as far as the work requires.
  2. 9.2 All intellectual property rights in the work, such as copyright, remain with Trueben or with whoever licensed them to Trueben. They transfer only if the parties agree so in a signed document (article 2 Dutch Copyright Act). The client receives the right of use in 9.3 and 9.4 once it has paid in full, and that in 9.5 for as long as it pays the subscription.
  3. 9.3 Website or web shop (one-off assignment): the client may use the work permanently for its own business, have it hosted wherever it wants, change it and have it changed, and transfer it together with its website or business. It may not sell the software in it separately or license it to others.
  4. 9.4 Software, web applications, client portals, AI automations and installation files: the client receives the right to use the installed program for its own business, on the number of servers in the order description, and otherwise on one server at a time. This right is non-exclusive and non-transferable. Without Trueben's written permission, the client may not copy, sell, rent out, give to another, change or decompile the program and the installation files. What the law mandatorily allows remains allowed: loading, displaying and correcting errors as far as needed for use (article 45j Dutch Copyright Act), a backup copy needed for use (article 45k) and acts needed for interoperability (article 45m). If the program must move to another server, Trueben installs it there on request and the old installation is removed.
  5. 9.5 Subscription (such as Launch): the right of use lasts as long as the subscription; the site runs on Trueben's system. What happens when it ends is on that subscription's page. The client's domain and content remain the client's.
  6. 9.6 Software may contain technical protection, for example a check at start-up that stops the program if a file was changed or if it runs on a server other than agreed. The client does not bypass or remove that protection.
  7. 9.7 Parts made by others, such as open-source software, fall under their own licences. Trueben names them on request.
  8. 9.8 Trueben supplies the source code of software (9.4) only if agreed. For a website (9.3), Trueben supplies the files needed to host it elsewhere.
  9. 9.9 Trueben may name and show the work as a reference, unless the client asks otherwise in writing. Trueben never shows the client's confidential information or personal data when doing so.

10. Fixes, support and maintenance

  1. 10.1 Trueben does maintenance, updates and support when the order description or a maintenance subscription includes them.
  2. 10.2 Trueben does other help and changes at the client's request, at the hourly rate or a price Trueben states beforehand.
  3. 10.3 Trueben fixes free of charge errors in its own work that the client reports within the support period in the order description, and otherwise within one month after delivery.
  4. 10.4 Not free of charge are fixes of errors caused by changes by others, wrong use, third-party services or their updates, or the client's server or account.
  5. 10.5 Trueben does not promise that software works without errors or interruptions.

11. Third-party services, and the client's server and accounts

  1. 11.1 Services the client buys itself, such as hosting, a server, a domain name, email (for example Microsoft 365), a shop platform (for example Shopify), payment services and AI services, fall under the client's own agreements with those providers. The client pays for and manages them. Trueben is not a party to them and is not responsible for their availability, prices, changes or outages.
  2. 11.2 If the work runs on a server or in an account of the client, the client is responsible for that server or account: its security (updates, access, passwords), the backups, and what happens on it, including its own customers, orders, turnover and the data stored there. Trueben installs and maintains the work there only on request, with the access the client gives.
  3. 11.3 If Trueben arranges hosting or an account for the client, it is in the client's name unless the order description says otherwise.

12. AI automation

  1. 12.1 What an AI model produces, such as an answer, text, summary or classification, may be wrong or incomplete. It is a tool, not a decision.
  2. 12.2 The client checks what AI produces before using or sending it, unless the parties agree in writing that the automation may do something on its own. What it may do on its own is the client's decision, and the consequences are the client's.
  3. 12.3 Trueben promises no specific accuracy or outcome of an AI model, unless the order description states one together with how it is measured.
  4. 12.4 Providers of AI models change their models and terms. Trueben is not responsible for that; changes needed as a result fall under article 10.
  5. 12.5 Trueben does not give the client's personal data to an AI service without the client's prior written permission (module A, point A5).

13. Liability

  1. 13.1 Trueben is a sole proprietorship; its prices are based on the hours and costs of the work and include no surcharge for the risk of damage at the client. That is the reason for the arrangements in article 13. Trueben is not liable for damage caused by the way the client, its staff or others not engaged by Trueben operate, configure, use, host or change the work, or by the client not following Trueben's advice. Nor is Trueben liable for any other damage of any kind connected with the work, the services or the agreement. Trueben is also not liable for indirect damage, such as consequential damage, lost turnover or profit, loss of or damage to data, loss of customers, damage to reputation, damage from business interruption, and fines or claims of others, including the client's customers. Trueben is likewise not liable for damage caused by: (a) the client's server, accounts or third-party services (article 11); (b) what the client, its staff or others not engaged by Trueben do with the work, or changes they made; (c) AI output the client uses or lets be sent (article 12); (d) the client's material or instructions. This does not affect the client's right to have errors fixed (article 10.3) or to dissolve the agreement (article 8.4). Each sentence of article 13.1 is a separate agreement: if one does not apply, the others still do.
  2. 13.2 Articles 13.1 and 13.3 do not apply in case of intent or deliberate recklessness of Trueben itself or of anyone in a managerial position at Trueben, nor where the law mandatorily forbids excluding or limiting liability, such as product liability (article 6:192 Dutch Civil Code).
  3. 13.3 If Trueben is nevertheless liable, for example because a court does not uphold article 13.1, that liability is limited, per event, to the amount the client paid for the assignment concerned, excluding VAT. For an ongoing service, it is the amount the client paid for that service in the 12 months before the event. The limit is in any case at least EUR 1,000. Related events count as one event. Indirect damage remains excluded even then. This article is a separate agreement: it continues to apply if article 13.1 does not apply or is annulled, in whole or in part.
  4. 13.4 The client itself is responsible for whether what it orders, and how it uses it, complies with the laws and rules that apply to its business, such as rules on privacy, consumers and its sector. The client checks output of the work, AI output included, before using or sending it, except what the parties have agreed in writing under article 12.2 may happen on its own. If it lets the automation act on its own (article 12.2), that is at its own risk.
  5. 13.5 In case of a failure, the client first gives Trueben a reasonable period in writing to put it right, unless that is no longer possible. A business client reports damage in writing as soon as possible; its right to compensation lapses if it does not bring its claim within 12 months after it knew or could have known of the damage.
  6. 13.6 A business client indemnifies Trueben against claims of others, including its own customers and data subjects within the meaning of the GDPR (article 82), arising from its instructions, its use of the work, its material or what it does or fails to do as controller, as far as the law allows. This does not apply to the extent the claim arises from intent or deliberate recklessness of Trueben itself or of anyone in a managerial position at Trueben, or from a breach by Trueben of the obligations the GDPR or module A imposes on Trueben as processor. The rights data subjects have against Trueben under the GDPR are not affected.
  7. 13.7 Trueben is not liable for a failure that is not its fault (force majeure, article 6:75 Dutch Civil Code), such as an outage of hosting, cloud, AI or payment services, loss of internet or power, or illness of Trueben's owner. If force majeure lasts longer than 60 days, either party may dissolve the agreement for the part not yet performed. A consumer may also dissolve it earlier where the law gives that right.

14. Confidentiality

  1. 14.1 Both parties keep the other's confidential information secret and use it only for the agreement, also after it ends.
  2. 14.2 Information is not confidential if it is already public or if a party must disclose it by law.

15. Personal data

  1. 15.1 For the data of its own clients, such as contact and order details, Trueben is the controller. How Trueben handles it is in the privacy policy.
  2. 15.2 If Trueben processes personal data for the client, module A below applies. The client is then the controller and Trueben the processor.
  3. 15.3 If the work runs on a server or in an account of the client and Trueben has no access to it, Trueben processes no personal data there for the client and is not its processor for that use. Module A then applies only to the moments Trueben does get access, such as during installation, maintenance or help.

16. If the client is a consumer

  1. 16.1 For a consumer, the rules of consumer law that may not be changed to the consumer's disadvantage apply. Anything in these terms that says otherwise does not apply then.
  2. 16.2 If a consumer makes the agreement at a distance (for example by email or by phone) or off Trueben's business premises (for example at the consumer's home), the consumer may withdraw from it within 14 days after the day it was made, without giving a reason (article 6:230o Dutch Civil Code).
  3. 16.3 Within those 14 days Trueben starts only if the consumer expressly asks. If the consumer withdraws after that, the consumer pays an amount in proportion to what Trueben had already done (article 6:230s(4)). If Trueben has performed the service in full and the consumer declared beforehand that the right of withdrawal is then lost, the consumer can no longer withdraw (article 6:230p(d)). Trueben confirms that request and that declaration by email.
  4. 16.4 A consumer withdraws by email to info@trueben.nl or with the model form below. Trueben confirms receipt by email without delay, stating the content of the declaration and the date and time it was received.
  5. 16.5 A consumer reports a complaint within a reasonable time after discovering the problem.
  6. 16.6 A consumer can always end an assignment (article 7:408(1)). The consumer then pays for the work already done, but no compensation for ending it (article 7:408(3)).
  7. 16.7 For a consumer, the following do not apply: the last sentence of 5.4, the third sentence of 6.2, article 8.3, the last sentence of 13.5 and article 13.6. For a consumer, article 13.1 does not apply; the limit in article 13.3 applies instead, but not for death or personal injury.
  8. 16.8 A consumer can always bring a dispute before the court that has jurisdiction under the law.

17. Complaints

  1. 17.1 The client reports a complaint about the work in writing to info@trueben.nl; a business client does so as soon as possible after it discovered or could have discovered the problem. Trueben responds within 5 working days.

18. Law and court

  1. 18.1 Dutch law applies to every agreement. The UN Convention on Contracts for the International Sale of Goods (CISG) does not apply.
  2. 18.2 A dispute goes to the District Court of Rotterdam, unless the law mandatorily assigns another court. For a consumer, article 16.8 also applies.

19. Versions of these terms

  1. 19.1 This version applies from 2 November 2026 to new agreements.
  2. 19.2 An agreement made earlier falls under the version that applied then, unless the client agrees to this version or 19.3 is followed.
  3. 19.3 Trueben may change these terms. For an ongoing service, Trueben announces a change 30 days in advance by email. If the client disagrees, it may end the service as of the day the change takes effect.

Module A. Personal data Trueben processes for the client

This module contains the terms that article 28(3) of the General Data Protection Regulation (GDPR) requires.

  1. A1. When this module applies. Only when Trueben processes personal data on the client's behalf in the work, for example for hosting, a preview, or access to a client system for installation, maintenance or help. The module is part of these terms and applies as soon as the client accepts them. It also applies to every later version, extension or follow-up assignment of the service, as long as the processing stays within A2. No separate signature is needed: the GDPR allows these terms in electronic form (article 28(9)).
  2. A2. What the processing involves. Subject and purpose: only providing the service in the agreement. Duration: as long as Trueben provides the service or has access for it. Nature: what the service requires, such as storing, viewing, organising, searching, changing and erasing. Types of data and data subjects, per service:
ServiceTypes of personal dataData subjects
Website or web shop Trueben hosts or manages, and previewswhat visitors enter in forms (such as name, email address, phone number and message), order data, comments in the feedback panel, technical data (IP address, browser, time)visitors, customers and staff of the client
Web application or client portalaccount data (name, email address, role, sign-in times, activity log) and what the client records in itstaff, customers and contacts of the client
AI automation, such as an email assistantmessages and their content (sender, recipients, subject, text, time), customer and order data the automation looks up, draft repliescustomers and other senders, people named in messages, staff of the client
Installation, maintenance and help with accessthe data on the system Trueben is given access to, only as far as the task requiresas for the service above
  1. The order description may narrow this or add a type of data; it names types of data and data subjects, never names of persons. The services are not meant for special categories of personal data, such as health data. If such data may still occur, for example in customers' emails, Trueben processes it only for the service and makes no copies of it other than the service itself requires, such as storage and backups for hosting.
  2. A3. The client. The client is the controller. It decides what the data is processed for, ensures a legal basis under the GDPR, informs the data subjects and gives only instructions the law allows.
  3. A4. Instructions. Trueben processes the data only on the client's documented instructions: the agreement, the order description and what the client asks by email, including on transfers outside the European Economic Area. If a law obliges Trueben to process, Trueben says so beforehand unless that law forbids it. If Trueben considers an instruction to breach the GDPR or other data protection law, Trueben says so at once.
  4. A5. Confidentiality and security. Trueben takes appropriate technical and organisational measures (article 32 GDPR). In any case: (a) only Trueben and persons Trueben binds to confidentiality in writing have access, and only as far as their task requires; (b) when Trueben works on a client system, it does not copy, download or store the client's personal data on its own equipment or with a service it buys itself, unless the service is storage by Trueben, such as hosting; (c) Trueben does not give the client's personal data to an AI service or another third party without the client's prior written permission, and never uses it to train AI models; (d) Trueben uses remote access only as the client grants it, over an encrypted connection; Trueben records when, for how long and for what purpose, and provides that list on request.
  5. A6. Sub-processors. The client gives general authorisation for other processors Trueben needs for the service, such as a hosting or cloud provider. Trueben keeps a list of them and sends it on request. Trueben announces a new or replacement sub-processor 14 days in advance by email; the client may then object and, if the parties cannot resolve it together, end the service concerned. Trueben imposes the same obligations as in this module on every sub-processor and remains liable to the client for its performance as for its own (article 28(4)); the extent of that liability follows article 13.3, not article 13.1. For an AI service, A5 (c) applies. Services the client buys itself (article 11) are not Trueben's sub-processors.
  6. A7. Transfers outside Europe. Personal data goes to a country outside the European Economic Area only if chapter V of the GDPR allows it. If a sub-processor does so, the list in A6 says so, with the safeguard used; through A6 the client agrees to it. For any other transfer Trueben first asks for written permission.
  7. A8. Assistance. Trueben helps the client, as far as possible and taking the processing into account, with requests from data subjects (such as access or erasure) and with its obligations under articles 32 to 36 GDPR. Assistance that takes more than a small effort is charged at the hourly rate, unless it is needed because of Trueben's error.
  8. A9. Data breach. If Trueben discovers a personal data breach, it informs the client without undue delay and where possible within 24 hours, with what Trueben knows about its nature, the data involved, the consequences and the measures taken. The client decides whether to notify the Dutch Data Protection Authority and the data subjects.
  9. A10. End. When the service ends, Trueben erases the personal data or returns it, as the client chooses, and deletes existing copies, unless the law requires storage. Data on the client's own server stays there.
  10. A11. Audits. Trueben gives the client all information needed to show that Trueben complies with this module, and contributes to audits and inspections by the client or an auditor it appoints. The client announces an audit 14 days in advance; the costs are the client's, unless the audit shows that Trueben materially failed to comply with this module.
  11. A12. Liability. Article 13 also applies to this module, as far as the GDPR allows; for sub-processors, A6 applies. The rights of data subjects under article 82 GDPR are not affected.
